1. Agreement to Terms

By accessing or using CloserAI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is provided by CloserAI ("we," "our," or "us").

2. Description of Service

CloserAI provides an AI-powered chat widget and lead management platform designed for real estate professionals. The Service includes:

  • An embeddable AI chat widget for your website
  • AI-powered lead capture and qualification
  • A lead management dashboard
  • Property matching and lead scoring
  • Multi-language support (50+ languages)
  • Email and notification alerts

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • You must be at least 18 years old to use the Service.
  • One person or entity may not maintain more than one free trial account.

4. Free Trial

  • We offer a 14-day free trial with full access to all features.
  • No credit card is required to start a trial.
  • After the trial period, your account will be paused until you subscribe to a paid plan.
  • Your data will be retained for 30 days after trial expiration.
  • We reserve the right to modify or discontinue the free trial at any time.

5. Pricing and Payment

  • Plans: Starter ($299/month), Professional ($799/month), Enterprise ($1,999/month). Annual billing available at a discount (pay 10, get 2 free).
  • Setup Fee: Monthly plans include a one-time setup fee ($997 on Starter/Professional, $1,497 on Enterprise) that covers onboarding, data import, and configuration. Setup fees are WAIVED on all annual plans.
  • Billing: Monthly recurring via PayPal. Charges are non-prorated.
  • Taxes: Prices do not include applicable taxes, which may be added at checkout.
  • Price Changes: We may change pricing with 30 days' notice. Existing subscribers are locked in at their current rate until they cancel or change plans.

6. Cancellation and Refunds

  • Free Trial: Every plan includes a 14-day free trial. Cancel anytime during trial with zero charge.
  • Cancellation: You may cancel your subscription at any time through your PayPal account. Cancellation takes effect at the end of the current billing period — you retain access until then.
  • Refund Policy: All sales are final. Because you have a 14-day free trial to evaluate the service in full, paid subscriptions are non-refundable. If you have a billing issue or technical problem, contact support and we'll make it right.
  • Data After Cancellation: Your data is retained for 30 days post-cancellation, then permanently deleted.

7. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Transmit spam, phishing, or malicious content through the AI chat
  • Attempt to reverse-engineer, decompile, or extract the AI models
  • Use the Service to collect data for purposes unrelated to real estate
  • Share your API key or account credentials with unauthorized parties
  • Overload the Service with automated requests beyond normal usage
  • Use the Service in a way that infringes on others' intellectual property rights
  • Modify, adapt, or create derivative works based on the Service without permission

8. Conversation Limits

  • Each plan includes a monthly conversation limit (Starter: 1,000; Professional: 3,000; Enterprise: 10,000).
  • We will notify you at 80% usage.
  • Overage conversations are billed at $0.99 per conversation ($0.75 per conversation on Enterprise).
  • Unused conversations do not roll over to the next month.

9. Intellectual Property

  • Our IP: The CloserAI platform, AI models, widget code, and branding are our intellectual property.
  • Your Data: You retain full ownership of your leads, conversations, and property listings. We do not claim any rights to your data.
  • Widget Code: You are granted a non-exclusive, revocable license to embed our widget on your website(s) for the duration of your subscription.

10. AI Disclaimer

  • The AI assistant is designed to engage website visitors and capture leads. It is NOT a licensed real estate agent or legal/financial advisor.
  • The AI may occasionally produce inaccurate or unexpected responses. You are responsible for reviewing leads and conversations.
  • We do not guarantee any specific number of leads, conversions, or revenue.
  • The AI's responses are generated by Anthropic's Claude model and may be subject to their terms of service.

11. Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service.
  • Scheduled maintenance will be announced in advance when possible.
  • We are not liable for downtime caused by third-party services (Anthropic, PayPal, Vercel, internet providers).

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • CloserAI is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, consequential, or punitive damages.
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not responsible for lost leads, missed opportunities, or revenue impact.

13. Indemnification

You agree to indemnify and hold harmless CloserAI from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third party's rights.

14. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or dashboard notification at least 30 days in advance. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
